These Terms of Use (the “Terms”) govern use of our web-based RT-PCR testing management. Simply PCR enables you to book healthcare services. We refer to our platform, website, branded versions of our site, and systems collectively as the “Services”. Simply PCR Services are operated by Simply PCR. By accessing and using Simply PCR Services to book healthcare services at a healthcare site, you acknowledge and agree to be bound by these terms, which establishes a contractual relationship between you and Simply PCR. Simply PCR may contact you regarding transactional discrepancies, outages or security issues.

Acceptance

Please take a moment to read these Terms carefully before subscribing to or using any of the Services. These Terms are a legal contract between Simply PCR and each person who uses the Services. These Terms may be updated or amended from time to time.

Consent to the Use of Data

When creating an account and using the Services, you will be asked to provide personal or medical information. By agreeing to the terms of this Agreement, you agree to the collection, use and disclosure of your personal information in accordance with our Privacy Policy.

Medical Advice

Your use of any aspect of Simply PCR Services is at your own risk. Simply PCR Services is a communications provider which connects you to book healthcare appointments. We will investigate suspected violations of this Agreement or illegal and inappropriate behavior through the Service. Please note that we will fully cooperate with any law enforcement investigation or court order ordering us or directing us to disclose the identity, behavior or activities of anyone believed to have violated this Agreement or to have engaged in illegal behavior.

Termination

You may make a request termination of your account at any time and for any reason by contacting our Privacy Officer at info@simplypcr.com More information about your rights pertaining to your data and security can be found in our Privacy Policy. Any suspension or termination of your account shall not affect your obligations to us under this Agreement (including but not limited to ownership and limitation of liability), including all those obligations, which by their sense and context are intended to survive the suspension or termination of your account.

Acceptable Use Policy

Users of our Services are expected to behave responsibly and to show respect for our people, our intellectual property and the law. You agree to communicate with Simply PCR team members and the staff of your selected healthcare sites in a mutually respectful manner at all times.

In addition, you must not:

“Frame” or “mirror” any content from our Services on any other website or server;
Post or transmit any material that is unlawful, harmful, defamatory, obscene, profane, discriminating, harassing, threatening, infringing of intellectual property, invasive of privacy rights, or otherwise objectionable;
Harvest, scrape or otherwise collect information about others from our Services, including names and email addresses;
Probe, scan or test the vulnerability of the Services or any web site, or breach the security or authentication measures of the Services;
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send on or through the Services; or
Pretend that you are, or that you represent, someone else, or impersonate any other individual or entity.
Use one’s information without their consent or provide untruthful information
Book an appointment and fail to attend without prior notification.

Simply PCR reserves the right to suspend or terminate your use of any or all of the Services, or take other appropriate remedial action, to address any inappropriate conduct or any violation or suspected violation of our Acceptable Use Policy or these Terms.

Account

In order to use the Services, you must register on Simply PCR. You represent and warrant that you are authorized to provide all the information you provide upon registration for your account. You are responsible for all activities occurring under your account and for keeping your account information confidential. All information provided on your account must be accurate and factual. Any false information can result in the cancellation of your account and appointment with the potential to include legal reprimands.

Safety. You are responsible for implementing and observing all safety measures that may be necessary to protect your personal well being and property and to prevent unauthorized access, misuse of account information or misuse of any other information. Simply PCR is not liable to you for any unauthorized access or misuse of the Services or your account.

In order to enter into these Terms, you must be fully able and competent to enter into the Terms and to abide by and comply with them. If you accept these Terms, you represent that you have the capacity to be bound by them. If you are agreeing to these terms on behalf of another person, you hereby represent and warrant that you have all necessary permissions and authority to agree to these terms and to bind them to these terms.

Technology Support

We do not warrant or guarantee that Simply PCR Services will function with your mobile or computing device or be compatible with the hardware or software on any particular devices. We cannot guarantee that Simply PCR Services will be error free, timely or secure. Information will be transmitted over a medium that will be beyond our control and jurisdiction; multiple factors, including network availability, may affect communications or otherwise interfere with the operation of the Service. We have no obligation to provide technical support or maintenance for Simply PCR Services.

NO LIABILITY

IN NO EVENT WILL Simply PCR, SUCH AS THE HEALTHCARE SITES THAT ARE CONNECTED TO THE SERVICES, AND EACH OF THEIR RESPECTIVE AGENTS, REPRESENTATIVES AND THIRD PARTY SERVICE PROVIDERS BE HELD ACCOUNTABLE FOR ANY INCIDENTS RESULTING FROM THE USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE SERVICES, ANY WEBSITES LINKED TO THE SERVICE, THE CONTENT OF THE SERVICE OR THE PERSONAL INFORMATION ACCESSIBLE ON THE SITE OR THROUGH THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL Simply PCR OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES BE LIABLE TO YOU IN ANY MANNER WHATSOEVER FOR ANY DESIGN MADE OR ACTION OR NON-ACTION TAKEN BY YOU IN RELIANCE UPON THE PERSONAL INFORMATION ACCESSIBLE OR CONTENT PROVIDED THROUGH THE SERVICES.

Choice of Law and Forum

This Agreement shall be governed in all respects under the laws of the province of Ontario, exclusive of its choice of law or conflict of law provisions. In any claim or action by you directly or indirectly arising under this Agreement or related to the Service, you irrevocably agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

Entire Agreement

This Agreement constitutes the entire agreement between you pertaining to the subject matter hereof. Anything contained in or delivered through the Service that is inconsistent with or conflicts with the terms of the Agreement is superseded by the terms of this Agreement. This Agreement may not be modified, in whole or in part, except as described elsewhere in this Agreement. This agreement may be superseded by any terms agreed between an individual and Simply PCR.

Severability

If any of the provisions of this Agreement are held to be not enforceable by a court or other tribunal of competent jurisdiction, then such provisions shall be amended, limited or eliminated to the minimum extent necessary so that the Agreement shall otherwise remain in full force and effect.

Assignability

You agree that this Agreement and all incorporated agreement between you and us may be assigned by us, in our sole discretion to any third party.

Modifications of this Agreement

We reserve the right to update or modify this Agreement at any time. By continuing to use the Service after any such changes, you agree to follow and be bound by this Agreement as changed. For these reasons, we encourage you to periodically review this Agreement.
